REPORTING TO: Chief Legal Officer / Company Secretary

JOB PURPOSE:

  • The role holder will be responsible for offering oversight and manage the documentation of the Bank’s contracts, draft reviews and recommend final contracts for adoption by the Bank, including standard templates like bank-customer contracts, credit documentation templates, tenancy agreements and nonstandard template.
  • Provide support to the Company Secretary.
  • Support the Chief Legal Officer/ Company Secretary in the management of the Bank’s litigation.
  • Provide legal advisory services.

 LOCATION: Kampala

 KEY ACCOUNTABILITIES:

  • Draft credit templates, review and improve existing standard contract templates, in line with new and existing products and legal requirements.
  • Minimize legal risks arising from contracts including credit risk during recovery and counterparty contract risk etc.
  • Draft and review contracts based on the business approvals, together with the legal requirements to ensure the Bank has legally binding and enforceable contracts with service providers.
  • Review large and/ or complex credit transactions in line with legal requirements to ensure the Bank has legally enforceable credit documents.
  • Offer legal advisory services to partner units and management, undertake legal research as part of this function, support assigned committees and projects.
  • Sensitize staff and enforce compliance with statutory and regulatory requirements.
  • Provide oversight over the custody of the Bank’s final contracts.
  • Support with provision of oversight over the Bank’s litigation portfolio, to ensure effective implementation of the agreed litigation strategy, policies, processes and guidelines in the management of cases by and against the Bank.
  • Provide proactive support to the Bank’s recovery teams in the management of delinquent accounts.
  • Provide support to the Company Secretary.

KNOWLEDGE, SKILLS AND EXPERIENCE REQUIRED:

  • Bachelor of Laws Degree.
  • Post graduate Diploma in Legal Practice.
  • Enrolled Advocate of High Court and subordinate Courts.
  • A minimum of five (5) years’ experience working in a busy law firm or commercial institution with extensive exposure to banking and finance transactions.
  • Demonstrated experience in contract negotiation and drafting.
  • Exposure to credit operations, documentation and perfection.
  • Strong grasp and in-depth knowledge of the principles and laws governing banking, finance, corporate law, contracts, mortgages and securities, land transactions, security realization etc.
  • Strong analytical and critical skills and, attention to detail.
  • Excellent legal drafting and interpretation skills.
  • Strong interpersonal and communication skills
  • Research skills.
  • Computer skills.
  • Demonstrated leadership skills.
